What is an Order Form?

An Order Form is a detailed document that outlines the specific product, access permissions such as number of users, fees, and payment terms for a particular purchase under a contract. The Order Form ensures both parties are clear on what product is being provided and under what terms. This particular Order Form is designed to work with an existing Common Paper Cloud Service Agreement v2 (CSA). It allows the parties to agree upon new product licenses that are not in scope in a previous Order Form, or to add on to or expand an existing license in a previous Order Form.

When should I use an Order Form instead of a Cloud Service Agreement?

The Common Paper CSA includes an Order Form in the Cover Page. In most cases, people will create a Cloud Service Agreement and the first Order Form at the same time. Once you agree to the Key Terms 33(i.e., the legal details in the Cover Page), you can issue additional Order Forms that leverage the already agreed terms. This saves time and money, allowing the parties to focus on their work together.

Can I have multiple Order Forms for a single CSA?

Yes. There is no limit to the number of Order Forms that can exist under a single CSA.

How do I use this Order Form?

To use this Order Form, first download a copy of it in your preferred format. Then, fill in details about the existing Common Paper CSA you are using and the product or access changes under the new Order Form. Finally, sign the Order Form with your counterparty via the signing process of your choice.

Can I leave something out of the Order Form?

Yes, some concepts in the Order Form are optional, like whether your agreement includes SLAs. When you download the Order Form, you’ll see notes explaining which fields are optional. If you omit a variable from the Order Form, the meaning will default to “none” or “not applicable” when the capitalized word is used in the Standard Terms.

What is the difference between the Order Form with the Standard SLA and the one without?

The Order Form option that includes a “Standard SLA” incorporates the Common Paper Service Level Agreement. The other option without the Standard SLA includes a placeholder to define or link to a custom SLA, but does not include information specific to the Common Paper SLA. Including an SLA, whether based on the Common Paper standard or a custom one, is optional and the SLA field can be deleted in its entirety if none applies.
