What is the purpose of an amendment?

An amendment allows the parties to a contract to change an existing agreement. Amendments can update, remove, add, or clarify specific terms in the original contract without having to rewrite the entire agreement. Amendments are useful when something needs to be adjusted, like timelines, licensed capacity or seats, payment terms, or responsibilities, and they help ensure that both parties are on the same page with the new terms.

What is the difference between an amendment and a new Order Form or Statement of Work?

The main difference between an amendment and a new Order Form or Statement of Work is that an amendment modifies the terms of an existing agreement, while a new Order Form or Statement of Work creates a completely new agreement. Although you can use existing terms for additional Order Forms or Statements of Work, each such ordering document creates a distinct contract. When using a new Order Form or Statement of Work to adjust, extend, or modify an existing agreement, the new ordering document technically terminates the old contract. Although this is possible, a new Order Form or Statement of Work is typically used to define new projects, services, or purchases that weren’t part of the original agreement. In contrast, an amendment preserves the original contract while updating discrete parts.

Can amendments override other amendments?

Yes. There is no limit to the number of amendments to a contract. It is common to sequentially number amendments to the same contract to better track the multiple different amendments. Generally, subsequent amendments will override prior ones if there is a conflict between the two.

How do I use this agreement?
