About this Common Paper agreement

What makes this agreement a “one-way” NDA?

The one-way NDA is unilateral in that only one party agrees to keep certain information confidential. This means that one party may share information with the other, and the receiving party is contractually required to protect and not disclose it. Unlike the MNDA, the party sharing the information doesn’t have the same confidentiality obligations to keep the other party’s information secret.

How is a one-way NDA different from a mutual NDA?

A one-way NDA only protects information of one party. In contrast, a mutual NDA allows both parties to share information with the contractual protection of confidentiality. One-way NDAs are oftentimes used when information flows in one direction, from one party to another. Some situations where this may occur include a company sharing information with a potential investor or with a contractor performing services for the company. In these situations, the goal is to protect the flow of information from one party and it’s not expected that the other party will share any confidential information.

How do I use this agreement?

To use the Common Paper One-Way NDA, download a copy of it in your preferred format. Then finalize the terms of the agreement with your counterparty and input those terms into the corresponding bracketed section of the Cover Page. Finally, have the receiving party sign your one-way NDA via the signing process of your choice.
